Existing Partner Country Operating Report

Important Notice
This form is used only to collect monthly operating reports from an existing SEMPER M partner, LOR recipient, distributor-type partner, country representative-type partner, or approved country-level operating partner.
Submission of this form does not mean partner status renewal, distributor right renewal, country representative authority, exclusivity, agency right, pricing authority, customer ownership, project assignment, letter extension, LOR issuance, layout approval, C.C.L approval, technical approval, commercial approval, or contract commitment.
This form is used by SEMPER M to review country-level operating activities, project pipeline, layout and drawing status, STEP5 drawing reflection progress, STEP7 contract conversion possibility, sales activities, pricing discussion risk, material and brand use, unauthorized authority claim risk, maintenance readiness, local regulation risk, and support requests.
SEMPER M may use this report to determine whether to continue, support, restrict, hold, revise, or terminate the country-level operating relationship.
Definition of Key Terms
The terms below are SEMPER M internal operating terms used only to help classify project status, support requests, and monthly reporting. These terms are provided to help existing Partners or Partners holding an LOR / approved letter complete this report accurately.
These terms do not create or expand any approval, authority, pricing right, layout right, contractual right, customer ownership, exclusivity, distributor status, or country representative status. Any activity beyond the approved written scope requires SEMPER M’s separate prior written approval.
1. STEP5 / Drawing Reflection
STEP5 means that MPSystem is being reflected, or is intended to be reflected, in the project’s architectural drawings through coordination with the architect, developer, or design team.
STEP5 does not mean contract approval, final technical approval, permit approval, construction approval, pricing approval, or Partner authority.
2. STEP7 / Contract Conversion
STEP7 means that a project is moving toward, or has reached, contract-stage discussion after sufficient project review, commercial review, and internal approval by SEMPER M.
STEP7 does not occur automatically from STEP5. STEP7 does not authorize the Partner to negotiate, confirm, or sign any contract on behalf of SEMPER M.
3. L0 / General Sales Material
L0 means general SEMPER M or MPSystem introduction material, such as a company profile, brochure, standard sales deck, video, or general explanation.
L0 is for general understanding only. It is not project-specific and does not confirm project applicability, parking count, floor height, price, permit feasibility, technical feasibility, or contract terms.
4. L1 / Reference Layout Material
L1 means reference layout material showing typical MPSystem layout logic, example patterns, or standard module concepts.
L1 is for early discussion only. It does not confirm project applicability, parking count, floor height, fire code, permit feasibility, pricing, technical approval, or contract terms.
5. L2 / Preliminary Feasibility Review
L2 means a preliminary review of whether MPSystem may be applicable to a project based on partial or early-stage project information.
L2 is not a custom layout, not a C.C.L, not a final technical review, not a quotation, and not a project approval.
6. L3 / Custom Concept Layout
L3 means a project-specific concept layout prepared only after SEMPER M has reviewed the required project information, including original drawings, client identity, budget, decision-maker access, price acceptance, and internal Gate approval.
L3 cannot be prepared, promised, modified, issued, or shared by the Partner without SEMPER M’s prior written approval.
7. L4 / C.C.L / STEP5 Layout
L4 means a C.C.L or drawing-reflection layout used to support STEP5 Drawing Reflection.
L4 requires SEMPER M’s internal approval, technical review, and Decision Gate approval. L4 is not a construction drawing, permit approval, final technical approval, quotation, or contract attachment unless separately approved in writing by SEMPER M.
8. C.C.L / Drawing-Reflection Coordination Layout
C.C.L means a coordination layout used to support discussions with the architect, developer, or design team for drawing reflection.
C.C.L is not a final construction drawing, not a permit drawing, not a quotation, not a contract commitment, and not a technical approval.
9. Project Submission
Project Submission means the submission of required project information for SEMPER M review. This may include project name, location, original drawings, target parking count, budget, decision-maker, architect / consultant contact, local regulation status, and maintenance structure.
Project Submission alone does not start Layout, C.C.L, pricing, technical approval, commercial proposal, or contract discussion.
10. Price Filter
Price Filter means a preliminary commercial readiness and price-acceptance check.
Price Filter is not a quotation, not pricing approval, not discount approval, not contract approval, and not authorization for the Partner to communicate pricing externally.
11. Decision Gate
Decision Gate means SEMPER M’s internal review point for deciding whether to commit resources such as Layout, C.C.L, technical review, commercial review, external meeting support, or contract-stage support.
Decision Gate results are internal and must not be represented externally unless SEMPER M provides written confirmation.
12. MPSystem Operating SCORE
MPSystem Operating SCORE is SEMPER M’s internal resource-commitment score used to assess drawing-reflection potential, profitability, REV risk, customer quality, execution feasibility, and strategic value.
MPSystem Operating SCORE is not an external approval, ranking, guarantee, or right granted to the Partner.
13. REV / Revision
REV means drawing, layout, or project information revision.
Repeated REV may delay SEMPER M review, increase project risk, reduce priority, or cause the project to be placed on Hold.
14. Approved Scope
Approved Scope means the country, territory, target account, project, activity, material use, and validity period expressly approved in writing by SEMPER M.
Any activity outside the Approved Scope requires SEMPER M’s separate prior written approval.
15. O&M / Maintenance
O&M means operation and maintenance readiness, including local service structure, trained technicians, spare-parts planning, emergency response, installation support, and long-term maintenance responsibility.
O&M readiness must be confirmed before contract-stage discussion.
16. Supporting Evidence
Supporting Evidence means documents or records that support the monthly report, such as meeting notes, email confirmations, original drawings, revised drawings, architect comments, developer feedback, public authority correspondence, regulation / permit documents, budget evidence, payment or L/C discussion records, maintenance / O&M evidence, photos, screenshots, or other relevant materials.
SEMPER M may request supporting evidence before reviewing any Layout, C.C.L, pricing, technical confirmation, external meeting support, Letter support, or contract-related discussion.

Any existing LOR, Distributor Letter, Partner Letter, TALLY submission, access to SEMPER M materials, or prior communication shall remain valid only within the expressly approved written scope. Such documents or communications do not grant, extend, or imply any additional authority beyond that scope. Unless separately authorized in writing by SEMPER M, the Partner is not authorized to provide pricing, commit to commercial terms, confirm technical feasibility, issue project-specific Layouts or C.C.L documents, bind SEMPER M contractually, claim customer ownership, claim exclusivity, or represent itself as SEMPER M’s official country representative.
